Mutual Data Use Agreement
Parties:
This Mutual Data Use Agreement (“Agreement”) is entered into by and between:
-Cannamatrix INC, a cannabis biotech company with its principal place of business at 16 Hill Street, Shrewsbury, MA.
The purpose of this Agreement is to define the terms under which Cannamatrix INC and its users maintain a fair use of all data. The Data Owner is obliged to make claims of its ownership at anytime. The Data Recipients will be provided data for the benefit of personalized plant recommendations and related services.Users, individuals who use Cannamatrix.com and have access to the user dashboard.
Purpose:
The purpose of this Agreement is to define the terms under which Cannamatrix INC and its users maintain a fair use of all data.The Data Owner is obliged to make claims of its ownership at anytime. The Data Recipients will be provided data for the benefit of personalized plant recommendations and related services.
Data Categories:
-Content Ownership:
Definition: Content in the form of text, images, logos etc.
Ownership:Cannamatrix.com and its content (text, images, logos, etc.) are owned by Cannamatrix INC. You may not reproduce, distribute, or modify our content without explicit permission.
-Plant IP (Cultivar Intellectual Property):
Definition: The cultivar, its DNA, and the commercial cultivation rights related to the plant sample submitted by the Users.
Ownership: Users have full ownership of the cultivar IP. Cannamatrix INC has the rights to destroy the plant sample during the process of the genetic testing which shall be ordered by the User through the Cannamatrix Web Platform.
-DNA and Genetic Data:
Definition: Genetic information derived from laboratory results of a given plant material. DNA refers to the the actual sequence and Genetic information refers to the results of a genetic test.
Ownership: Users own the commercial rights to the DNA. The genetic data is shared between the parties and stored in its raw form for both parties to access. Processing: Users submit plant material to Cannamatrix INC, and Cannamatrix processes the plant material into genetic data. The genetic data is stored in its raw form and processed into prediction data. Users may access and analyze the genetic data of their plants for personalized recommendations. Cannamatrix may access and analyze the DNA and genetic data to improve the prediction modeling capabilities for all users.
-Prediction Data:
Definition: Predictive modeling results based on genetic data.
Ownership: Cannamatrix is the Data owner. The license to view this data is included with the purchase of a genetic test from Cannamatrix INC. Cannamatrix INC shall utilize the prediction data for future predictions unrelated to the User. Users may utilize prediction data to optimize their plant and crop health.
Obligations:
-Cannamatrix INC Obligations: Cannamatrix INC shall maintain the security and integrity of shared data. Cannamatrix INC shall promptly notify Users of any changes to the Terms of Service. Cannamatrix will never store associated User account information in the same location as plant data. User address data will only be associated with orders, and not associated with plant data, genetic data, or prediction modeling data. Cannamatrix will destroy all plant samples and DNA samples within 1 week of the successful uploading of the genetic data.
-User Obligations: Users shall only use shared data solely for authorized purposes. Users shall not reverse-engineer, modify, or exploit the data. Users shall comply with all applicable laws and regulations.
-Duration: This Agreement shall remain in effect unless terminated by either party. Termination may occur due to breach of obligations, changes in business circumstances, or mutual agreement.
-Governing Law: :Cannamatrix.com provides information and recommendations based on genetic data, but we do not guarantee accuracy or suitability. Use our services at your own risk.
Limitation of Liability:
